1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Revalve's websites, browser extension, mobile applications, software, and related services (collectively, "Services"). By accessing or using Revalve, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.
2. Eligibility
You must be at least 18 years old (or the applicable age of majority in your jurisdiction) to use Revalve. By using our Services, you represent that you are legally capable of entering into binding contracts in your jurisdiction and that you have not been restricted by law from using financial technology or e-commerce platforms.
3. Accounts & Registration
a. Account Creation
To access certain features, you may need to create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the confidentiality of your login credentials and password.
- Notify us immediately of any unauthorized access to your account.
- Be responsible for all activities that occur under your account.
- Keep your account information updated and accurate.
b. Account Suspension & Termination
Revalve reserves the right to suspend or terminate your account, restrict access to Services, or take disciplinary action without notice if we reasonably believe you have:
- Violated these Terms or our Privacy Policy.
- Engaged in fraudulent, abusive, or illegal activity.
- Violated marketplace terms of service (eBay, Poshmark, etc.).
- Posed a security threat to Revalve or other users.
c. Account Deletion
You may delete your account at any time by contacting devops@revalve.ai. Upon deletion, your account data will be removed within 30 days, though aggregated or anonymized data may be retained for analytical purposes.
4. Use of the Services
a. Lawful Use Only
You may use Revalve only for lawful purposes and in accordance with these Terms. You agree not to:
- Reverse Engineer or Copy: Attempt to reverse engineer, decompile, disassemble, or copy our software, extension code, algorithms, or proprietary data.
- Data Scraping: Scrape, crawl, or extract data from our Services without authorization. This includes automated access for competitive analysis.
- Unauthorized Access: Attempt to gain unauthorized access to restricted areas, other users' accounts, or backend systems.
- Malicious Code: Upload, transmit, or distribute malicious code, viruses, worms, ransomware, or other harmful software.
- Spam & Harassment: Use the Services for spam, phishing, harassment, threats, or any form of abuse.
- Fraudulent Activity: Use Revalve to facilitate fraud, money laundering, counterfeiting, or misleading misrepresentation.
- Marketplace Violations: Use Revalve in violation of marketplace terms of service (eBay, Poshmark, StockX, etc.), including price manipulation, false listings, or prohibited activity.
- Commercial Exploitation: Resell, redistribute, or provide access to Revalve as a service without written permission.
- Illegal Activity: Use Revalve for any activity that violates federal, state, local, or international law.
b. Acceptable Use
You may use Revalve to:
- Obtain fair value estimates for personal purchasing decisions.
- Monitor pricing trends and historical data for items you own or are considering.
- Manage personal watchlists and pricing alerts.
- Engage in legitimate resale or investment activity on authorized marketplaces.
5. Intellectual Property Rights
a. Revalve's Ownership
All content, code, algorithms, models, databases, trademarks, logos, designs, and branding associated with Revalve are the exclusive property of Revalve, Inc. and protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.
b. Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for lawful personal or business purposes in accordance with these Terms. This license does not grant you any right to:
- Modify, adapt, translate, or create derivative works.
- Sublicense, resell, or redistribute the Services.
- Use the Revalve name, logo, or branding without written consent.
- Incorporate our algorithms or models into competing products.
c. User Content
Any feedback, suggestions, or content you provide to Revalve ("User Content") becomes the property of Revalve, Inc. and may be used, reproduced, modified, and distributed without restriction or compensation to you.
6. Subscription Plans & Payments
a. Subscription Tiers
Revalve offers multiple subscription tiers:
- Casual (Free): 50 fair value lookups per month, 5 Val copilot chats.
- Active ($9/month): 300 lookups, full AI insights, price history charts, price projections, 50 Val copilot chats.
- Pro Dealer ($49/month): Unlimited lookups, cross-marketplace comparison, unlimited Val copilot chats, priority support.
- Enterprise: Custom pricing for API access, data licensing, and autonomous agents. Contact sales for terms.

b. Payment & Billing
By purchasing a subscription or service:
- You authorize Revalve and our payment processors (Stripe, etc.) to charge your payment method on a recurring monthly basis or as otherwise agreed.
- You are responsible for maintaining current and accurate payment information.
- Failed payments may result in immediate suspension of Services.
- Refunds are generally non-refundable except as required by law or at Revalve's sole discretion.
c. Pricing & Changes
- Revalve may change subscription pricing or features with 30 days' notice to existing subscribers.
- Price changes will apply at the start of your next billing cycle.
- Continued use after a price change constitutes acceptance.
d. Free Trial & Promotional Offers
- Free trials or promotional offers are subject to specific terms displayed at signup.
- Trial periods automatically convert to paid subscriptions unless cancelled before the trial ends.
- We may revoke promotional codes at any time.
e. Cancellation
You may cancel your subscription at any time through your account settings or by contacting devops@revalve.ai. Cancellation takes effect at the end of the current billing cycle.
7. Marketplace Integration & Third-Party Services
a. Marketplace Accounts
If you choose to connect your eBay, Poshmark, StockX, or other marketplace accounts to Revalve:
- You grant Revalve read-only access to publicly available seller data, sales history, and pricing information.
- You are responsible for maintaining the confidentiality of your marketplace login credentials.
- Revalve will not access sensitive data (passwords, banking information, etc.).
- You can revoke Revalve's access at any time via your marketplace account settings.
b. Marketplace Compliance
You represent and warrant that your use of Revalve complies with all applicable marketplace terms of service. Revalve is not responsible for your violations of marketplace policies. You agree to indemnify Revalve if your use of Revalve results in suspension or termination from any marketplace.
c. Third-Party Services
Revalve may integrate with or link to third-party services (payment processors, analytics tools, marketplaces). We are not responsible for:
- The availability, accuracy, or quality of third-party services.
- Data breaches, outages, or service interruptions caused by third parties.
- Privacy practices or policies of third parties.
You use third-party integrations at your own risk and are responsible for reviewing their terms and privacy policies.
8. Fair Value Estimates & Disclaimers
a. No Guarantees
Revalve provides fair value estimates, price projections, and market data as-is and as-available. We do NOT guarantee:
- Accuracy: Fair value estimates may not reflect true market value. Actual prices vary based on condition, seller reputation, location, timing, and market conditions.
- Predictions: Price projections are estimates based on historical data. Future prices may differ significantly.
- Completeness: Market data may be incomplete, outdated, or sourced from limited data points.
- Real-Time Updates: Pricing data is refreshed regularly but may lag behind actual market changes.
b. Not Financial or Investment Advice
Revalve is an informational platform only. We do NOT provide:
- Financial advice
- Investment advice
- Tax advice
- Legal advice
All insights, estimates, and projections are for informational purposes only. You are solely responsible for your buying, selling, and investment decisions. Consult with qualified financial, tax, or legal professionals before making significant transactions.
c. User Responsibility
You use Revalve at your own risk. You are responsible for:
- Verifying fair value estimates independently.
- Conducting your own due diligence before purchases or sales.
- Understanding the condition, authenticity, and provenance of items.
- Complying with all applicable laws and marketplace regulations.
9. Limitation of Liability
a. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Revalve and its affiliates, officers, employees, and partners provide the Services "AS IS" and "AS AVAILABLE" without any warranties of any kind, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Warranties regarding accuracy, reliability, timeliness, or completeness of content.
- Warranties that the Services are uninterrupted or error-free.
b. Limitation of Liability
To the maximum extent permitted by law, Revalve shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, goodwill, or business opportunity.
- Losses arising from inaccurate fair value estimates or price predictions.
- Third-party claims related to your use of the Services.
- Interruption, suspension, or termination of Services.
- Data breaches or unauthorized access (except where caused by Revalve's gross negligence).
c. Liability Cap
Our total aggregate liability under these Terms shall not exceed the amount you paid (if any) to Revalve for the Services during the 12 months preceding the claim. If you have not paid any fees, our liability is limited to $100.
d. Jurisdictional Exceptions
Some jurisdictions do not allow limitation of liability for certain types of damages (e.g., personal injury, fraud, gross negligence). In such cases, this limitation does not apply to the extent prohibited by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Revalve, Inc. and its officers, directors, employees, agents, and partners from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services.
- Your violation of these Terms or applicable law.
- Your violation of a third party's rights, including intellectual property, privacy, or proprietary rights.
- Your breach of any marketplace terms of service or seller agreements.
- Any content you provide, upload, or transmit.
- Your interaction with other users or third parties.
11. Termination & Suspension
a. Termination by Revalve
Revalve may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or our Privacy Policy.
- Suspected or confirmed fraudulent, abusive, or illegal activity.
- Security threats or suspicious behavior.
- Violation of marketplace terms of service.
- Non-payment of subscription fees (30 days after notice).
- Requests from legal authorities or law enforcement.
- Business decisions, service discontinuation, or asset transfers.
b. Termination by You
You may terminate your account at any time by contacting devops@revalve.ai or deleting your account through your account settings.
c. Effect of Termination
Upon termination:
- Your access to the Services is immediately revoked.
- Your account data will be deleted within 30 days unless legally required to retain.
- Aggregated or anonymized data may be retained indefinitely for analytical purposes.
- Provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification survive termination.
12. Governing Law & Dispute Resolution
a. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
b. Jurisdiction & Venue
Any claims, disputes, or legal proceedings arising from or related to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Boston, Massachusetts. You consent to the personal jurisdiction of these courts and waive any objection based on inconvenient forum.
c. Arbitration Option
By mutual agreement, parties may elect to resolve disputes through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in Boston, Massachusetts, in accordance with JAMS Comprehensive Arbitration Rules & Procedures. Each party bears its own costs, with arbitration fees split equally.
d. Class Action Waiver
You and Revalve agree to resolve disputes on an individual basis. You waive any right to pursue class action, representative action, or consolidated proceedings against Revalve.
13. Changes to Terms
a. Modifications
Revalve may update these Terms at any time to reflect changes in our Services, legal requirements, or business practices. The "Last updated" date at the top reflects the most recent revision.
b. Notice of Changes
Material changes will be communicated via:
- Email notification to registered users.
- In-app notification or banner.
- Prominent notice on revalve.ai.
c. Acceptance of Changes
Your continued use of the Services following notification of changes constitutes your acceptance of the revised Terms. If you do not agree with changes, you may terminate your account and stop using the Services.
14. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed from these Terms. All other provisions shall remain in full force and effect.
15. Entire Agreement
These Terms of Service, together with our Privacy Policy and any additional terms displayed on Revalve's website or within the Services, constitute the entire agreement between you and Revalve regarding your use of the Services and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
16. Waiver
The failure of Revalve to enforce any right, power, or provision of these Terms shall not constitute a waiver of such right, power, or provision. Any waiver must be in writing and signed by an authorized representative of Revalve.
